2. PRODUCT SCOPE

Our product offerings include:

b) Print-on-Demand Merchandise: Apparel and merchandise items (including t-shirts, hoodies, unisex classic tees, and other items) produced and fulfilled by Printful on your behalf, subject to Printful's terms and conditions.

c) NFTs: Digital assets sold as non-fungible tokens on blockchain platforms, as detailed in Section 2a.

3. LICENSE GRANT FOR DIGITAL PRODUCTS

Upon purchase, you are granted a non-exclusive, non-transferable, personal use license to use the digital products for your individual purposes only. This license does not permit:

• Resale or redistribution of products

• Sharing files with others

• Claiming authorship or ownership

• Using products for commercial purposes without explicit written permission

• Modifying products for resale

• Uploading products to file-sharing platforms or torrents

3a. PRINT-ON-DEMAND MERCHANDISE TERMS

Product Customization & Variations: Print-on-demand items feature your custom designs. While we ensure quality control, minor variations in print placement, colors, or shading may occur due to the nature of the production process and third-party manufacturing.

Third-Party Fulfillment: Our print-on-demand merchandise is produced and fulfilled by Printful (https://www.printful.com). By purchasing these items, you acknowledge that:

• Printful acts as our fulfillment partner and prints/ships items on our behalf

• Printful's production quality standards apply to all print-on-demand items

• Your personal information may be shared with Printful for order fulfillment purposes

• Printful's privacy policy and terms of service apply alongside this agreement

Sizing & Fit: We recommend reviewing product sizing charts before purchase. Sizing issues are the responsibility of Printful as the manufacturer. We are not liable for fit or sizing complaints after purchase unless the item received is defective or significantly differs from the product description.

Production Time & Shipping: Print-on-demand items typically take 2-5 business days for production before shipping. Shipping times vary by destination. We provide tracking information via email. Delays beyond our control (carrier delays, customs issues, etc.) are not our responsibility.

Quality Guarantees: We guarantee that print-on-demand items will be free from manufacturing defects. However, we are not responsible for:

• Normal wear and fading over time

• Damage caused by improper care or washing

• Shrinkage (please follow care instructions)

• Discoloration from external factors (sun, water, chemicals)

Care Instructions: All print-on-demand items come with care instructions. We are not liable for damage resulting from improper care or washing against provided instructions.

Returns & Defective Items: If you receive a defective print-on-demand item, contact us within 14 days of delivery with photographic evidence. We will work with Printful to arrange replacement or refund. Returns due to fit, color preference, or customer dissatisfaction are not eligible for refund.

4. NFT (NON-FUNGIBLE TOKEN) SPECIFIC TERMS

For any digital products sold as NFTs or associated with blockchain technology:

Ownership of NFT: Purchasing an NFT grants you ownership of the token itself on the blockchain, but does NOT transfer copyright, trademark, or any intellectual property rights of the underlying digital asset to you.

Copyright Retention: NextGen Resourcesnet retains ALL copyright and intellectual property rights to the underlying artwork, design, and digital content. The NFT purchase grants only a limited license as specified.

Limited Commercial Use: You may NOT use the underlying digital asset for:

- Creating derivative NFTs or digital products for sale

- Mass production or merchandise creation

- Commercial advertising without written permission

- Any revenue-generating purpose beyond the NFT's resale

Resale Rights: You may resell the NFT token itself on compatible marketplaces, but the buyer receives the same limited license - NOT full intellectual property rights.

Platform Fees: NextGen Resourcesnet may receive royalties on secondary sales as programmed in the smart contract. These fees are non-negotiable and automatic.

No Refunds: NFT sales are final and irreversible due to blockchain technology. Ensure you understand the purchase before completing the transaction.

Display Rights: You have the right to display the digital asset for personal, non-commercial purposes only, including on social media with proper attribution to NextGen Resourcesnet.

Blockchain Risks: You acknowledge that blockchain technology involves inherent risks including but not limited to: platform volatility, smart contract vulnerabilities, loss of wallet access, and market fluctuations. NextGen Resourcesnet is not liable for these risks.

Verification: NextGen Resourcesnet is the ONLY authorized creator of official NextGen Resourcesnet NFTs. Purchase only from verified official channels to ensure authenticity.

5. DIGITAL PRODUCTS AND DOWNLOADS

All digital product sales are final. Due to the digital nature of our products, refunds are not provided once a download link has been accessed or a product has been downloaded. Please review product descriptions carefully before purchase.

For technical issues with downloads (links expire, files corrupt), contact us and we will provide a replacement download link.

6. MEMBER SITE ACCESS

Access to member-only content requires account creation and may be subject to subscription fees. We reserve the right to modify, suspend, or terminate member access at our discretion.

7. PAYMENT & BILLING

• All prices are displayed in EUR and include applicable Irish VAT where required

• Payment is processed securely via Squarespace and third-party payment processors

• We accept credit/debit cards and cryptocurrency (for NFT purchases)

• By making a purchase, you confirm you have authority to use the payment method provided

• Recurring subscriptions will renew automatically unless cancelled

8. PROHIBITED USES

You may not:

• Violate any applicable laws or regulations

• Infringe upon intellectual property rights

• Upload malicious code or viruses

• Attempt to gain unauthorized access to our systems

• Use our products in any way that harms NextGen Resourcesnet or other users

• Reverse-engineer, decompile, or attempt to extract source code from digital products

• Create counterfeit copies of our products

9. DISCLAIMER OF WARRANTIES

Our digital products and print-on-demand merchandise are provided "as is" without warranties of any kind. While we strive for quality, we do not guarantee that:

• Products will meet your specific requirements or expectations

• Products will be error-free or uninterrupted

• Print-on-demand items will perfectly match on-screen color representations

• Products are compatible with all devices or software

10. LIMITATION OF LIABILITY

NextGen Resourcesnet shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our products or website, including loss of profit or data. Our total liability for any claim shall not exceed the amount you paid for the product in question.

11. THIRD-PARTY SERVICES

We integrate with third-party services including Printful (fulfillment), OpenSea (NFT marketplace), and others. Your use of these services is governed by their respective terms of service. We are not responsible for their service interruptions, data breaches, or policy changes.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms of Service at any time. Continued use of our website after changes constitutes acceptance of the modified terms. Material changes will be notified via email.

13. GOVERNING LAW & DISPUTE RESOLUTION

These terms are governed by the laws of Ireland. Any disputes arising from these terms or your use of our products shall be resolved in the courts of Cork, Ireland.

In accordance with Irish consumer protection law, if you are a consumer, you have the right to resolve disputes through alternative dispute resolution mechanisms before pursuing legal action.

15. CONSUMER RIGHTS NOTICE (IRELAND)
